About Illinois business records

Illinois corporations owe a franchise tax on paid-in capital in addition to the $75 annual report fee, while LLCs pay only the report fee. Online filings add a payment processor fee, and the Secretary of State's search is licensed for individual searches only, not bulk copying.

The public record of every Illinois LLC and corporation belongs to the Illinois Secretary of State, Department of Business Services, whose search goes by ILSOS.

Questions

Is this the official Illinois business search?
No. Open State Index is an independent website with no connection to any government agency. The official Illinois search is Business Entity Search, run by the Illinois Secretary of State.
What is ILSOS?
ILSOS is what many people call the Illinois Secretary of State's online business records. The official search linked on this page, Business Entity Search, is part of the same system.
How do I check if a business name is available in Illinois?
Search the Secretary of State's Business Entity Search by name; an LLC or corporation name must be distinguishable from names already on file. The name of an administratively dissolved Illinois LLC stays unavailable to others for three years.
Does Illinois charge a franchise tax or a similar yearly tax?
Illinois corporations pay a franchise tax to the Secretary of State based on paid-in capital, an initial amount when shares are first issued and then yearly with the annual report; since January 1, 2025 the first $10,000 of liability is exempt, and LLCs do not pay it.
