Good to know about Wyoming

Most Wyoming LLCs pay only the $60 minimum license tax with the annual report. Electronic certificates of good standing are free online.

Forming the LLC, step by step

  1. Check that the name is free

Start from our Wyoming business lookup or go straight to the official Wyoming search. Search the name in the Secretary of State's WyoBiz filing search. An LLC name must also include a designator such as LLC or Limited Liability Company.

The name must also say that it is an LLC, with words such as "Limited Liability Company" or "LLC". Our name availability guide covers what makes two names too close.

  2. Reserve the name, if you want to hold it

Optional. If you are not ready to file, a reservation costs $60 and holds the name for 120 days. Source, checked 2026-10-26

  3. Appoint a registered agent

Every Wyoming LLC names one in its filing: a person or company with a street address in Wyoming who accepts legal papers for it. You can be your own agent, but your address then goes on the public record. More in what a registered agent does.

  5. Get an EIN from the IRS, free

Once Wyoming approves the LLC, apply for an Employer Identification Number on the IRS EIN page. It is free and issued online as soon as the application is approved; a site that charges for it is selling a service, not the number.

  6. Write an operating agreement

Wyoming does not collect it, but write one anyway, even for a one-person LLC: it settles ownership, decisions and exits on your terms instead of the state's default rules. What goes in an operating agreement.

  7. Keep it in good standing

Annual Report and license tax: at least $60, every year, due by the first day of the anniversary month; it can be filed up to 120 days early. $60, or two tenths of a mill on Wyoming assets if higher: $60 covers up to $300,000 of Wyoming assets. Source, checked 2026-10-26

An LLC that falls behind on these, or is left without a registered agent, can be dissolved by the state.
