What is different in Tennessee

Tennessee prices LLCs by membership: both the articles and every annual report cost $50 per member, at least $300 and at most $3,000. A tax clearance from the Department of Revenue is needed before the state issues a Certificate of Existence.

Forming the LLC, step by step

  1. Check that the name is free

Start from our Tennessee business lookup or go straight to the official Tennessee search. Search the Business Entity Search on TNCaB. A new name must be distinguishable from names already on record, unless the holder of the existing name gives written consent filed with Form SS-9411 for an extra $20.

It also needs an LLC ending, such as "LLC". For when two names count as the same, see checking LLC name availability.

  2. Reserve the name, if you want to hold it

Optional. If you are not ready to file, a reservation costs $20 and holds the name for four months (120 days). Source, checked 2026-10-26

  3. Appoint a registered agent

Every Tennessee LLC names one in its filing: a person or company with a street address in Tennessee who accepts legal papers for it. You can be your own agent, but your address then goes on the public record. More in what a registered agent does.

  4. File the Articles of Organization

File the Articles of Organization, Limited Liability Company (Form SS-4270) with the Tennessee Secretary of State. The state fee is from $300. $50 per member, with a $300 minimum and a $3,000 maximum. Source, checked 2026-10-26

  5. Get an EIN from the IRS, free

Once Tennessee approves the LLC, apply for an Employer Identification Number on the IRS EIN page. It is free and issued online as soon as the application is approved; a site that charges for it is selling a service, not the number.

  6. Write an operating agreement

Tennessee does not collect it, but write one anyway, even for a one-person LLC: it settles ownership, decisions and exits on your terms instead of the state's default rules. What goes in an operating agreement.

  7. Keep it in good standing

Annual Report: at least $300, every year, due by the first day of the fourth month after the fiscal year ends (April 1 for a December year end). $300 minimum, plus $50 for every member over six, up to $3,000. Source, checked 2026-10-26

Franchise and Excise Tax: Tennessee LLCs pay a franchise tax based on net worth, with a $100 minimum owed even by inactive entities, plus an excise tax on net earnings, both to the Department of Revenue. Source, checked 2026-10-26

An LLC that falls behind on these, or is left without a registered agent, can be dissolved by the state.
