Delaware is a common state of incorporation for companies that operate elsewhere, so many businesses found here have their offices in other states. Its free search shows the file number, formation date and registered agent but not the entity's status, which is a paid lookup; the corporation formation fee shown is the minimum and rises with the amount of authorized stock.
Filings in Delaware go to the Delaware Department of State, Division of Corporations, which keeps the official record.
| Status | What it means |
|---|---|
| Good Standing | The entity is current on its annual reports and taxes. |
| Void | A corporation's charter became void because it did not pay its franchise tax or file a complete annual report, and its powers are inoperative until it is revived. |
| Cancelled | An LLC's certificate of formation was cancelled, for example after three years of unpaid annual tax, or the LLC filed to end its existence. |
