Choose a state to see the LLC formation cost there: the fee to file the articles of organization (or certificate of formation), any other filing the state requires at the start, and a name reservation if you want one. The second total is what the state charges every year to keep the LLC active: the yearly or two-yearly report fee and any flat or minimum LLC tax.

How it calculates
- To form adds the state's filing fee, any other filing it requires before or with the formation (Alabama's name reservation, Nevada's initial list and business license, New York's certificate of publication) and, if you tick the box, the optional name reservation fee.
- Every year to keep it adds the fixed yearly charges: the annual or biennial report fee and any LLC tax that does not depend on income, such as California's $800 annual tax. A fee due every two years is shown as its own amount rather than split in half.
- "From" marks a minimum that can rise, for example with the number of members or the LLC's assets.
Assumptions and limits
- State fees only. A commercial registered agent, a formation service, city or county licenses and permits are not included; the LLC cost guide covers them.
- Newspaper publication charges, where a state requires a published notice (New York, Arizona, Nebraska), are set by the newspapers and vary by county, so they are named but not added.
- Taxes that depend on revenue or profit, such as the Texas franchise tax, are described under the yearly total and not added to it. Federal income tax and self-employment tax are separate: see the self-employment tax calculator.
- Where we could not confirm a figure on an official source, the calculator says so instead of guessing.
- When the first yearly fee falls due depends on the state and on the date you form; each state LLC guide gives the due dates.
